1. Agreement to Terms
By accessing or using the website at duocodetech.com ("Website") or engaging DuoCode Technology (SSM Registration No. 202603062356, LA0087244-A) for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.

DuoCode Technology is a sole proprietorship registered under the Registration of Businesses Act 1956 in Malaysia, providing information technology services including website development, mobile application development, UI/UX design, search engine optimization (SEO), IT consultancy, system integration, and custom software development for businesses.
3. Services
We offer software development and IT consulting services as described on our Website. The specific scope, deliverables, timeline, and pricing for each project are agreed upon in a separate project proposal or service agreement between DuoCode Technology and the client.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Material changes to ongoing engagements will be communicated to affected clients in advance.
4. Client Obligations
When engaging our services, you agree to:
- Provide accurate and complete information necessary for the project.
- Respond to requests for feedback, approvals, and content in a timely manner.
- Ensure that any materials provided (text, images, logos) do not infringe third-party intellectual property rights.
- Make payments according to the agreed schedule outlined in the project proposal.
5. Intellectual Property
Client deliverables: Upon full payment, the client receives ownership of the custom code, designs, and assets specifically created for their project, unless otherwise stated in the project agreement.
Pre-existing materials: DuoCode Technology retains ownership of any pre-existing tools, frameworks, libraries, and proprietary code used in the development process. The client receives a perpetual, non-exclusive license to use these components as part of the delivered project.
Portfolio rights: Unless otherwise agreed, DuoCode Technology may display the completed project in our portfolio and marketing materials as a reference of our work.
6. Payment Terms
- Payment terms are specified in each project proposal or service agreement.
- A deposit may be required before work commences.
- All prices are quoted in Malaysian Ringgit (MYR) unless otherwise specified.
- Late payments may result in suspension of work until outstanding amounts are settled.
7. Website Usage
When using our Website, you agree not to:
- Use the Website for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to our systems or interfere with the Website's operation.
- Reproduce, distribute, or create derivative works from our Website content without prior written consent.

8. Limitation of Liability

Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
9. Warranty Disclaimer
Our Website and its content are provided "as is" without warranties of any kind, whether express or implied. For our services, any warranties and support terms are specified in the applicable project agreement.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project engagement. This obligation survives the termination of any service agreement for a period of 2 years.
11. Termination
Either party may terminate a service engagement with 14 days' written notice. Upon termination, the client shall pay for all work completed up to the date of termination. DuoCode Technology will deliver all completed work product upon receipt of final payment.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Website or services after changes are posted constitutes acceptance of the revised Terms.
